How to change a director’s details?

During the life of a company, it is quite normal to update an existing director’s details or to appoint a new director. This could be to change an address associated with that director or possibly their name after marriage.

You may need to remove (terminate) a director at some point.

There are different forms for each task which can be filed online or by post.

Changing a Director’s Details!

To change a company director’s details you need to file either form CH01 or form CH02 at Companies House. This will depend on whether you are changing the details of a person or a corporate entity that is appointed as company director.

Which form to use?

Form CH01 – Use this to change the details of a ‘person appointed‘ as a company director

Form CH02 – Use this to change the details of a ‘corporate entity‘ that is appointed as a company director

All companies must have at least one ‘real person’ appointed as a company director. They must be at least 16 years old and not disqualified as a company director. This is legally required under the Companies Act 2006. Using a company as a director of another company is unusual. This is normally only done in larger group structures.

Please note – You can change the name, address and country of residence for a company director. It is not possible to change the date of birth as this should remain constant. If you have made an error appointing a company officer with an incorrect date of birth, you need to resign the director and then re-appoint them.

Changing a Director!

The officers in a company occasionally need to be changed. If you need to remove or appoint a company director there are several different forms.

Which form to use?

Form AP01 – Use this to add a new ‘person‘ as a company director

Form AP02 – Use this to add a new ‘corporate entity‘ as a company director

Form TM01 – Use this to remove either a person or a corporate entity as director. The same form can be used for either.

Remember, that you must have at least one person appointed as a company director at all times.
